Please read these Terms and Conditions carefully before using the Northmere website located at northmerex.biz. By accessing or using this website, you agree to be bound by these terms. If you do not agree, please do not use the website.
1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of the Northmere website and any communications or interactions you have with us as a result of that access. They apply to all visitors, enquirers, and clients.
These Terms should be read alongside our Privacy Policy and Cookie Policy, which form part of our overall legal framework for website use.
2. Website Use
You may use this website for lawful purposes only. You agree not to:
- Use the website in a way that breaches any applicable local, national, or international law or regulation.
- Transmit or submit material that is unlawful, defamatory, offensive, or technically harmful (including malware, viruses, or denial-of-service material).
- Attempt to gain unauthorised access to any part of the website, its server, or any associated database or system.
- Reproduce, redistribute, or republish any part of the website without our prior written consent, except as expressly permitted by law.
We reserve the right to restrict or terminate access to the website for any user who we reasonably believe is in breach of these Terms.
3. Nature of Our Services
Northmere provides business advisory services in the areas of market orientation, entry options analysis, and operational advisory for companies exploring or entering Thailand and nearby Southeast Asian markets.
Our services are general advisory and informational in nature. They do not constitute legal advice, financial advice, accounting advice, tax advice, or any form of regulated professional service. Clients should seek appropriately qualified professional advisors for matters that require licensed professional input.
Information shared through our website, including service descriptions, briefing materials, and blog content, is provided for general informational purposes. It reflects general observations about business operating environments and does not constitute advice specific to your situation.
4. Engagements and Deliverables
When you engage Northmere for a paid service, the scope of work, deliverables, timeline, and fees will be agreed in writing before the engagement begins. The written scope of work forms the basis of the contractual relationship for that engagement.
Deliverables produced by Northmere (such as briefing documents, options matrices, and entry plans) are prepared specifically for the engaging client based on the information provided. They reflect our professional judgement at the time of preparation and on the basis of available information. We cannot accept responsibility for outcomes arising from decisions made by clients on the basis of our work.
Northmere does not act as an agent, representative, or intermediary for any third party (including government bodies, regulators, landlords, or commercial counterparties) on behalf of clients, unless separately and explicitly agreed in writing.
5. Payment Terms
Fees for Northmere services are as set out in the agreed scope of work or as displayed on this website at the time of engagement. Payment terms are as follows:
- For the Market Orientation Briefing, payment is due in full before the engagement commences.
- For the Entry Options Study, a deposit of 50% is payable on engagement, with the balance due on delivery of the completed study.
- For the Expansion Advisory Engagement, fees are structured as set out in the written scope, typically on a monthly or milestone basis.
All fees are stated in Thai Baht (฿) unless otherwise agreed. Invoices are issued by Northmere and are payable within 7 days of issue unless stated otherwise. Late payment may result in work being paused.
We do not offer refunds once work has commenced on a deliverable, except where Northmere has materially failed to deliver the agreed scope. Any dispute over a deliverable should be raised with us promptly and in writing.
6. Intellectual Property
All content on this website — including text, design elements, layout, and imagery — is the property of Northmere or its content licensors and is protected by applicable intellectual property law. You may not copy, reproduce, or distribute website content without our written permission.
Deliverables produced under a paid engagement are provided to the client for their internal business use. Unless otherwise agreed in writing, copyright in those deliverables remains with Northmere, and we grant the client a non-exclusive licence to use them for the purposes described in the scope of work.
You retain ownership of any information, data, or materials you share with us in the course of an engagement. By sharing such materials, you confirm that you have the right to do so and that sharing them with Northmere does not infringe any third-party rights.
7. Disclaimer of Warranties
This website and its content are provided on an "as is" and "as available" basis. While we take care to ensure the accuracy and currency of information on this website, we make no representations or warranties, express or implied, as to the completeness, accuracy, or fitness for purpose of any content.

- Loss of business, revenue, profits, or anticipated savings;
- Loss of data or business information;
- Any other indirect or consequential loss.
Our aggregate liability to you in connection with any engagement shall not exceed the total fees paid by you to Northmere for that specific engagement.
Nothing in these Terms shall limit or exclude liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot lawfully be limited or excluded.
